l         Whether the parties to the contract are qualified;

l         Pay special attention to the draft of the articles of liability of breach and termination of contract;

l         The matters involving the formation of staff, authority and rule of procedure of management organ as well as finance management;

l         Means of dispute resolutions and the law applied shall be expressly agreed;

l         The definition of the words used in the contract shall be strictly defined;

l         Distribution methods, proportion, timing and payment term of joint venture’s profit shall be expressly stipulated;

l         As precaution measures, the parties may agree in the contract the purchasing price by the other party in advance in case the joint venture project suffer losses leading to the early termination of the contract;

l         Give your attention to the possibility of sales monopoly by one party in the course of sales.
