For an EJV and a CJV, the joint venture contract and articles of association should expressly set forth the schedule of capital contribution. The article of association of a WFOE should also expressly provide for the schedule of capital contribution. In the event that the Joint Venture Contract provides that a joint venture party should contribute its subscribed capital on a lump sum basis, the joint venture parties should complete capital contribution within 6 months after the business license is contributed. If the capital will be contributed in installments, the first installment should be contributed within 3 months of the issuance of business license of FIE. The amount of first installment should not be less than 15% of the capital subscribed by each party.
